BOOSWEET RECORDS DISTRIBUTION AGREEMENT

Boosweet.com NON-EXCLUSIVE CONSIGNMENT AGREEMENT

I warrant that I am the authorized artist or representative of on behalf of _____________________________________________(Artist).

Enclosed please find five (5) units of initial inventory for the Artist's product titled: ________________________________, which three (3) is to be placed on consignment with Boosweet.com. Boosweet.com is allowed to keep for its files one (1) gratis or free copy of the product as a non-returnable reference copy, and one (1) to giveaway as a free gift to a customer as part of our monthly contest giveaways.

I understand that this non-exclusive Agreement applies only to the above product consigned under this Agreement and does not make Boosweet.com a partner or general agent of the Artist, or myself, or a partner in or copyright owner of the product, and that I am free to place the above product on consignment with services other than Boosweet.com. I also understand that Boosweet.com assumes no responsibility for the following; copyright protection of the product, originality of any component or any promotional materials related to the product, royalty payments other than as stated herein, payments due to any third party, damages occurring during storage or handling or shipment of product. I agree that Boosweet.com reserves the right to refuse consignment of this product and may remove this product from consignment for any reason.

I understand that upon acceptance of the product, Boosweet.com will post music in their online store for purchase. I/Artist agree that Artist shall allow Boosweet.com the limited use of Artist's name, likeness, and any existing biographical information or any existing materials associated with the Artist or Artist's product for the purpose of promoting the product and making the product available for on-line purchase, and I warrant that Boosweet.com's use of such existing biographical information and materials will not infringe upon the copyrights or rights of any third parties.

I understand that within 30 days after the sale of 3 or more units of the product, Boosweet.com shall account to Artist and pay to Artist 70% (seventy percent) of the advertised retail selling price per product unit sold. I understand that Artist is not entitled to any percentage of the postage and handling charges or any applicable state sales taxes collected by Boosweet.com from its customers.

I agree to send additional units of the product to Boosweet.com's office for the purpose of replenishing inventory within 48 hours of any such request, provided that the number of units requested for this purpose by Boosweet.com shall be reasonable and based on previous sales and projected sales.

I understand that I can terminate this Agreement by submitting a thirty (30) day written notice to Boosweet.com, and any Product remaining in Boosweet.com's stock at the end of the thirty (30) day notice period shall be returned to me at my expense, and a final accounting shall be provided to the me. Shipping charges for any stock returned by Boosweet.com to Artist will be deducted by Boosweet.com from any amount due the Artist.

I warrant that I am at least 18 years old, and have been fully authorized by Artist to agree to the terms herein on behalf of Artist. I also agree on behalf of myself and Artist to indemnify and hold Boosweet.com, it's successors, assigns, agents, officers, directors, partners, family, and employees harmless against any liability, damage, cost, expense, occasioned by or arising out of any claim, demand, or action, related in any way to the services or terms as described in this Agreement.
